AdroitPad is a paid, local-first desktop application. These are the terms for using it, trying it free for seven days, and buying a licence. Nothing here overrides the Privacy Policy — read that for what data moves and where.
The short version
- AdroitPad is licensed to you, not sold outright — the app and its code stay ours, your data stays yours.
- Free for 7 days, then a paid licence (monthly or yearly) is required to keep using it. Nothing forces you to keep a subscription: cancel any time and it stops billing.
- Payments are handled by Lemon Squeezy, our reseller of record — they process the charge, calculate tax, and handle refunds under their own policy.
- You keep your own data. Cancelling or a licence expiring never blocks you from exporting or backing it up.
- Don't use AdroitPad to break the law, attack other systems, or try to defeat the licensing.
- The app is provided as-is, with the ordinary limits on our liability that this kind of software carries everywhere.
1. Who these terms are with
AdroitPad is made by AdroitForge Inc, a sole proprietorship registered in India (GSTIN 09AKQPG4802L1ZT, Udyam UDYAM-UP-28-0230986), based in Greater Noida, Uttar Pradesh. In this document, "we", "us" and "AdroitForge" mean AdroitForge Inc; "you" means whoever installs or uses AdroitPad.
By downloading, installing or using AdroitPad, or by starting the free trial, you agree to these terms. If you do not agree, do not install or use the application.
2. What AdroitPad is
AdroitPad is a desktop application that runs on your own computer. Your data — notes, captures, credentials, projects and everything else you put into it — is stored in an encrypted database on your device, per the Privacy Policy. We do not host your content, do not have a copy of it, and cannot access it.
Some optional features reach the network — a free trial check, licence activation, a mailing list you can opt into, a contact form, and (if you use them) your own API requests or an AI model download. Each is described in full in the Privacy Policy; none of them carries the content you create in the app.
3. The free trial
New installs get a 7-day free trial of the full application, no credit card required. The trial start date is recorded once, server-side, specifically so that reinstalling the app or changing your system clock does not grant a second one. When the trial ends, a paid licence is required to continue using the app; your data is never deleted or locked away — see §7.
4. Buying and using a licence
AdroitPad is offered as a subscription, billed monthly or yearly, at the prices shown on the pricing page at the time you buy. Prices are shown tax-inclusive: the amount displayed is the amount charged, wherever you are.
Lemon Squeezy is our payment processor and reseller of record for this purchase. They process the charge, calculate and remit any applicable sales tax or VAT, issue the receipt, and handle the checkout and your payment details — we never see or store your card information. Refunds, disputes and billing questions are handled under Lemon Squeezy's own policies, since they are the merchant of record for the transaction.
On purchase you receive a licence key, usable on a limited number of devices at once (shown at checkout). You can release a device from within the app to free up a seat for another. The licence is for your own use; sharing a key to give other people access beyond the stated device limit is not permitted.
A subscription auto-renews at the end of each billing period unless you cancel first. Cancelling stops future billing but does not refund the period already paid for — the licence stays active until that period ends, then the app requires a new one.
5. What the licence grants, and does not
We grant you a personal, non-exclusive, non-transferable licence to install and run AdroitPad on the number of devices your plan allows, for as long as your subscription is active or your trial has not ended. AdroitPad and its source code remain the property of AdroitForge Inc; buying a licence does not transfer any ownership in the software itself.
You may not: reverse-engineer, decompile or disassemble the application beyond what applicable law permits regardless of this restriction; remove or alter any licensing or copyright notice; resell, sublicense or redistribute AdroitPad; or attempt to bypass, disable or defeat the trial or licence-activation mechanism.
6. Acceptable use
Use AdroitPad lawfully. Do not use it to develop, store or distribute material that is illegal where you are, to attack or gain unauthorised access to systems you do not own, or to violate anyone else's intellectual property or privacy rights. Do not attempt to overwhelm, disrupt or gain unauthorised access to the small set of AdroitPad servers described in the Privacy Policy (the trial check, licence activation, the mailing list, and the contact form) — each of those endpoints is public but rate- and validation-limited, and misuse of them is a breach of these terms independent of anything else.
7. Your data, and what happens to it
Your content is yours. Nothing in these terms gives AdroitForge any ownership or licence over the notes, captures, credentials or projects you create in AdroitPad — it never leaves your device unless you choose to export, sync or back it up somewhere yourself.
We never hold your data hostage. If a trial ends, a subscription lapses, or an account is otherwise not entitled to the full app, AdroitPad still lets you export or back up everything you have stored — the features lock, your access to your own data does not.
If you stop using AdroitPad, uninstalling it removes the application from your device; whatever you have separately backed up (to a folder, GitHub, S3, or elsewhere) is unaffected and remains yours to keep or delete as you choose.
8. No warranty
AdroitPad is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the app will be error-free, uninterrupted, or that any defect will be corrected, though we do fix bugs we find or are told about.
Because your data lives only on your own device by design, you are responsible for keeping your own backups. We cannot recover data you have not backed up yourself — see §7 and the Privacy Policy for why that is the trade-off of a local-first design rather than an oversight.
9. Limitation of liability
To the fullest extent permitted by law, AdroitForge Inc will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or business, arising out of or related to your use of AdroitPad, even if advised of the possibility of such damages. Our total liability for any claim arising from these terms or your use of AdroitPad will not exceed the amount you paid us in the twelve months before the claim arose.
Nothing in this section limits liability that cannot lawfully be limited or excluded in your jurisdiction.
10. Termination
You may stop using AdroitPad and cancel your subscription at any time. We may suspend or terminate a licence if these terms are materially breached — most concretely, sharing a key beyond its device limit or attempting to defeat the licensing mechanism (§5). Termination of a licence never affects your right to export or back up data already on your device (§7).
11. Changes to these terms
We may update these terms as AdroitPad changes — most recently to describe the current double opt-in flow for the mailing list, matching the Privacy Policy. Material changes will update the effective date above; continued use of AdroitPad after a change means you accept the updated terms. We will not use a change to these terms to reduce the rights described in §7 for data already on your device.
12. Governing law
These terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute not otherwise resolved is subject to the exclusive jurisdiction of the courts of Uttar Pradesh, India. Nothing here limits any statutory right you have as a consumer in your own country that cannot be waived by contract.
